FWN Bylaws (4/17) Article XIV, Section 14 - Chapters
Upon the receipt of a Petition for Chapter Formation (“Petition”) satisfying the established criteria for a FWN chapter, the Board of Directors may authorize the organization of a chapter in any city, state, multi-state area or country that the Board, giving consideration to the number of members to be affected, considers suitable.
The Petition shall be accompanied by a proposed Certificate of Incorporation and FWN Chapter Bylaws which shall be approved by the Board of Directors of FWN before it authorizes the organization of the chapter.
Each Chapter shall have the power to adopt and formulate Bylaws based upon the FWN Chapter Minimum Bylaws, provided these do not conflict with the Bylaws of the FWN. Should any provision of the Bylaws of a chapter need interpretation or construction, it shall be so established in a manner consistent with the provisions and intent of the FWN Bylaws, as determined by the FWN Board of Directors.
The Chapter may publicize its formation and events in the FWN Chapter Name upon receiving approval from the FWN Board of Directors and the Affiliation Agreement has been signed by both parties.
The chapter shall not bind, contract for or take any position on behalf of FWN without the express approval of the CEO, President or Board of Directors.
The chapter shall follow the policies and procedures of FWN, including, but not limited to the antitrust directives of FWN, and shall provide timely notice to the CEO, President or the VP Chapter Relations of activities undertaken by the chapter.
A chapter which fails to comply with the Bylaws, policies, and procedures of FWN may be disqualified by the Board of Directors, provided thirty (30) days notice has first been given to the chapter, during which time the chapter has an opportunity to come into compliance, and if compliance is not achieved, the chapter is then accorded a hearing.
A chapter which has been disqualified may be reinstated by the FWN Board of Directors upon written request of the chapter with review and approval by the Board of Directors.
Members of a chapter shall be individual members of FWN, and company members or employees of a company member. Non-voting members shall be those in the Affiliate Member category. Members may belong to more than one chapter with payment of appropriate chapter dues.
Each chapter shall be self-sustaining and payment of chapter dues shall not relieve the FWN chapter member of the obligation to pay international member dues to FWN.
FWN shall collect local chapter dues online via the FWN membership site [http://ffwn.org/MembershipApplication] on behalf of the chapter, based on dues set by the Chapter Board of Directors, and shall remit said dues to the chapter on or before the end of each calendar quarter.
Chapter members are obligated to pay both international FWN member dues and chapter dues to be considered in good standing.
